By accessing or using PayShield's Mobile Device Management platform and related services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and PayShield ("Company," "we," "us," or "our").

To use our Services, you must: - Be at least 18 years of age - Have the legal capacity to enter into binding contracts - Be a registered business entity in India (for business accounts) - Provide accurate and complete registration information - Not be prohibited from using our Services under applicable laws

Account Creation: You must create an account to access our Services. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or use of your account. Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that may harm our Services or other users.

PayShield provides Mobile Device Management services including but not limited to: - Remote device locking and unlocking capabilities - Device monitoring and tracking - Payment reminder notifications - Multi-level distribution management - Reporting and analytics - Customer and device management tools The specific features available to you depend on your subscription plan and may be modified by us at any time.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to: - Use the Services for any illegal or unauthorized purpose - Violate any local, state, national, or international law - Harass, abuse, or harm another person or entity - Interfere with or disrupt the Services or servers - Attempt to gain unauthorized access to any part of the Services - Use the Services to lock devices without proper legal authority - Misrepresent your identity or affiliation with any person or entity - Upload or transmit viruses or malicious code - Collect or harvest any information from the Services - Use automated systems to access the Services without permission

Authorization: You represent and warrant that you have proper legal authority to manage devices through our platform. This includes having valid contracts with end-users that explicitly authorize remote device management in case of payment defaults. End-User Notice: You are responsible for ensuring that end-users are properly informed about the device management capabilities before device registration. Appropriate Use: Device locking should only be used in accordance with your agreements with end-users and applicable laws. PayShield is not responsible for any misuse of device management capabilities. Data Protection: You must comply with all applicable data protection and privacy laws when using our Services to manage devices and process end-user information.

Subscription Fees: Access to our Services requires payment of subscription fees as specified in your selected plan. Fees are charged in advance on a monthly or annual basis. Payment Methods: We accept various payment methods including credit/debit cards, bank transfers, and UPI. You authorize us to charge your selected payment method for applicable fees. Price Changes: We reserve the right to modify our pricing at any time. Changes will be communicated in advance, and continued use of the Services constitutes acceptance of new pricing. Refunds: Subscription fees are generally non-refundable. We may provide refunds or credits at our sole discretion. Late Payment: Failure to pay fees when due may result in suspension or termination of your access to the Services.

Our Property: The Services, including all content, features, and functionality, are owned by PayShield and are protected by copyright, trademark, and other intellectual property laws. Limited License: We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes in accordance with these Terms. Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of our software. Feedback: Any feedback, suggestions, or ideas you provide about our Services may be used by us without any obligation to you.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Data Ownership: You retain ownership of your data. By using our Services, you grant us a license to use, process, and store your data as necessary to provide the Services. Data Security: We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security. Data Backup: While we perform regular backups, you are responsible for maintaining your own backup of important data.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that: - The Services will be uninterrupted or error-free - Defects will be corrected - The Services are free of viruses or harmful components - The results of using the Services will meet your requirements Your use of the Services is at your sole risk. We are not responsible for any losses resulting from device management actions taken through our platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYSHIELD SHALL NOT BE LIABLE FOR: - Any indirect, incidental, special, consequential, or punitive damages - Loss of profits, revenue, data, or business opportunities - Damages arising from unauthorized access to your account - Damages resulting from actions taken based on device management - Any amount exceeding the fees paid by you in the 12 months preceding the claim These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless PayShield and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from: - Your use of the Services - Your violation of these Terms - Your violation of any rights of another party - Your improper use of device management capabilities - Any claims by end-users relating to devices managed through our platform

Term: These Terms remain in effect until terminated by either party. Termination by You: You may terminate your account at any time through your account settings or by contacting us. Termination by Us: We may suspend or terminate your access immediately, without notice, if you breach these Terms or for any other reason at our sole discretion. Effect of Termination: Upon termination, your right to use the Services ceases immediately. Provisions that should survive termination will remain in effect.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the courts of Delhi, India. You consent to the personal jurisdiction of such courts.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PayShield regarding the Services. Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or the right to enforce it. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. Notices: We may send notices via email, postal mail, or posting on our website. Notices to us should be sent to our contact address.
